End User License Agreement

1. Parties and Acceptance

This End User License Agreement ("Agreement") is between you (or the entity you represent, "Licensee") and DNG Software Pty Ltd (ABN 56 696 282 541) ("Licensor").

BY INSTALLING, ACTIVATING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

The Software is distributed through Microsoft AppSource and is subject to Microsoft's AppSource terms in addition to this Agreement.

2. License Grant

2.1 Scope. Subject to these terms and payment of applicable fees (or during a valid free trial period), Licensor grants you a non-exclusive, non-transferable, limited licence to install and use the Software within a single Microsoft 365 tenant.

2.2 Per-Seat Licensing. Each subscription covers the number of named users (seats) purchased. A seat authorises one named user to use the Software. Additional users require additional seats.

2.3 Free Trial. The Software may be used free of charge for up to fourteen (14) calendar days from the date of first activation ("Trial Period"), subject to trial limits on seat count and bulk-operation volume. Continued use after the Trial Period requires a paid subscription.

2.4 Subscription. Paid licences are available on a monthly or annual subscription basis. Subscription fees are charged and renewed through the AppSource marketplace or directly via the Licensor's billing portal.

3. Restrictions

You may not:

• Copy, redistribute, sublicense, rent, sell, or transfer the Software to any third party.
• Decompile, disassemble, reverse-engineer, or attempt to derive source code from the Software.
• Modify, adapt, translate, or create derivative works based on the Software.
• Remove or alter any proprietary notices, labels, or marks on the Software.
• Bypass, disable, or circumvent any licence validation or access-control mechanism.
• Use the Software to provide managed services, service bureau operations, or hosted services to third parties without a separate written agreement from Licensor.
• Use the Software in violation of applicable law or in any manner not expressly permitted by this Agreement.

4. Ownership and Intellectual Property

The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. "SP Bulk Search" and associated logos are trademarks of DNG Software Pty Ltd (ABN 56 696 282 541).

You retain all rights to your own data. The Software processes your SharePoint data locally within your Microsoft 365 environment and does not copy, store, or transmit your SharePoint content to Licensor's servers.

5. Data Privacy and Security

5.1 No Content Collection. The Software operates as an SPFx web part within your Microsoft 365 tenant. Your SharePoint list content, document files, metadata, and user directory data are never transmitted to or stored by Licensor.

5.2 Licence Telemetry. The Software communicates with Licensor's licensing service to validate your subscription and enforce trial limits. This communication transmits only your tenant identifier, aggregate usage counts, operation type, and client version — no SharePoint content.

5.3 Privacy Policy. Licensor's collection and handling of any personal data is governed by the Privacy Policy.

6. Support and Updates

During an active paid subscription, you are entitled to software updates and bug fixes released for the Software at no additional cost. Basic email support is included. Support requests should be submitted to support@sharepointtoolkit.com.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Licensor does not warrant that the Software will be error-free, uninterrupted, or free of security vulnerabilities, or that defects will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF PROFITS), EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LICENSOR'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO LICENSOR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Termination

This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. You may also terminate by uninstalling the Software and ceasing all use.

Upon termination, all licences granted hereunder immediately cease. Sections 3, 4, 7, 8, and 10 survive termination.

10. Governing Law

This Agreement is governed by the laws of New South Wales, Australia, without regard to conflict-of-law principles. Disputes shall be submitted to the exclusive jurisdiction of the courts of New South Wales, Australia.

11. Changes to This Agreement

Licensor may update this Agreement from time to time. Material changes will be notified via email or in-product notice. Continued use of the Software after the effective date of any change constitutes your acceptance of the revised Agreement.
